AUV Innovations LLP acquired equity shares of Zee Media Corporation as of August 21, 2023. Afterwards, stake increased from 3.83% to 5.43% The acquisition was completed, exceeding the SEK 5% threshold that will require disclosure in accordance with SEBIs rules. Zee Media operates throughout India with multiple news channels. 

AUV Innovations LLP has announced the acquisition of 1,00,00,000 equity shares of Zee Media Corporation.

Prior to the acquisition, the entity was in possession of 2.39 shares, and upon acquiring 1 crore shares, the present shareholding has crossed 5% requiring disclosure under SEBI rules.

The acquisition was made on August 21, 2025, via the open market channel. The acquisition increases AUV Innovations’ shareholding in Zee Media Corporation from 2,39,84,375 shares (3.83% of total shareholding) to 3,39,84,375 shares (5.43% of total shareholding).

Zee Media’s equity share capital stood at 62.54 crore equity shares of ₹1 each, before and after the transaction. However, the total diluted share capital is 89.37 crore shares, including the warrants being converted.

Q1 Results

Zee Media reported a consolidated net loss of ₹8.81 crore in the first quarter of FY26, compared to a net loss of ₹10.38 crore at the same time last year.

The company’s revenue from operations was up 3.63 percent year-on-year, up to ₹182.36 crore for Q1 FY26, from ₹175.96 crore for Q1 FY25. Total Income was also up 3.24 percent to ₹183.11 crore as against ₹177.35 crore for the corresponding quarter in the prior year.

“We wish to inform you that AUV Innovations LLP has acquired 1,00,00,000 shares of Zee Media Corporation Limited, a company listed on your stock exchange, on the 21st day of August, 2025.”

Stock Movement

Even though the company saw its financials improve, the stock remains weak in the bourses. The shares of ZMCL have dropped more than 4 percent in the past year. This downtrend continued into 2025, with the stock declining more than 9 percent in July and another 6.5 percent in August. It is down almost 31 percent year-to-date.

In short, AUV Innovations’ shares of Zee Media have exceeded 5%, indicating increased interest from investors even with modest quarterly revenue growth in Q1 and reduced losses. However, the stock remains constant in downward movements, showing cautiousness from the market.
